These Terms of Service ("Terms") govern your access to and use of the Complia platform, website, and related services (collectively, the "Service") provided by Complia ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

1. Definitions

  • "Platform" means the Complia e-commerce software, including all features, tools, APIs, and dashboards provided as part of the Service.
  • "Customer" means the individual or entity that creates an account and subscribes to the Service.
  • "End User" means any person who visits or transacts on a store powered by the Platform.
  • "Customer Data" means all data, content, and information uploaded, entered, or transmitted through the Platform by the Customer or their End Users.
  • "Subscription" means the paid plan selected by the Customer to access the Service.

2. Account Registration

2.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. The Service is intended for business use and is not directed at consumers.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to immediately notify us of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account.

2.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3. Service Description

Complia provides a compliance-first e-commerce platform for businesses selling regulated products. The Service includes:

  • E-commerce storefront with product catalog management
  • Compliance engine with configurable regulatory workflows
  • Inventory and lot tracking with Certificate of Analysis management
  • Payment processing integrations
  • Shipping and fulfillment tools
  • Admin dashboard with analytics and reporting

4. Subscriptions and Payment

4.1 Subscription Plans

The Service is offered on a subscription basis. You agree to pay the applicable fees for your selected plan as described at the time of purchase.

4.2 Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected billing cycle. All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law.

4.3 Price Changes

We may change subscription fees upon 30 days' written notice. Price changes take effect at the start of your next billing cycle. Continued use of the Service after a price change constitutes acceptance of the new fees.

4.4 Taxes

All fees are exclusive of taxes. You are responsible for paying all applicable taxes, except for taxes based on our net income.

5. Customer Responsibilities

5.1 Compliance with Laws

You are solely responsible for ensuring that your use of the Platform complies with all applicable laws, regulations, and industry standards, including but not limited to:

  • Federal, state, and local regulations governing the sale of your products
  • Age verification and access restriction requirements
  • Product labeling and marketing regulations
  • Consumer protection laws
  • Data protection and privacy laws (including CCPA and GDPR where applicable)

The compliance tools provided by Complia are designed to assist you but do not guarantee compliance. You remain responsible for understanding and meeting all regulatory requirements applicable to your business.

5.2 Prohibited Uses

You agree not to use the Service to:

  • Sell products that are illegal under federal or applicable state/local law
  • Engage in fraudulent, deceptive, or misleading practices
  • Infringe upon the intellectual property rights of others
  • Distribute malware or engage in any activity that compromises the security of the Service
  • Harass, abuse, or harm other users
  • Circumvent or disable any security features of the Platform
  • Use the Service for any purpose other than operating a legitimate e-commerce business

5.3 Customer Data

You retain all rights to your Customer Data. By using the Service, you grant us a limited license to host, process, and display your Customer Data solely to provide the Service. You are responsible for the legality, accuracy, and appropriateness of all Customer Data.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including all software, designs, text, graphics, and other content (excluding Customer Data), is owned by Complia and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription term.

6.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without obligation or compensation to you.

7. Third-Party Services

The Service integrates with third-party services (payment processors, shipping carriers, analytics providers). Your use of these integrations is subject to the terms and privacy policies of those third parties. We are not responsible for the practices or availability of third-party services.

8. Service Availability

8.1 Uptime

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. Enterprise plans include specific SLA commitments.

8.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes that affect your use of the Service.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
  • We do not warrant that the Service will be uninterrupted, error-free, or secure.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • Our total aggregate liability for all claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Complia and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Products sold through your store on the Platform
  • Any dispute between you and your End Users

11. Termination

11.1 By You

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.

11.2 By Us

We may suspend or terminate your account if you violate these Terms, engage in prohibited activities, fail to pay fees, or if we are required to do so by law. We will provide notice when reasonably possible.

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will make your Customer Data available for export for 30 days following termination, after which it may be deleted.

12. Dispute Resolution

Any disputes arising from these Terms or the Service will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration will take place in the United States. You agree to waive any right to a jury trial or to participate in a class action.

13. General Provisions

  • Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.
  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Complia regarding the Service.
  • Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.
  • Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
